Agreement and Acceptance

These Terms of Use ("Terms") constitute a legally binding agreement between you and EZRX, LLC DBA EasyRx ("EZRX," "EasyRx," "we," "us," or "our"), a Delaware limited liability company, governing your access to and use of our mobile application, website, pharmacy services, telehealth services, and all related services (collectively, the "Services").

By creating an account, accessing, or using any part of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

We may modify these Terms at any time by posting the updated Terms on our platform. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

Definitions

  • "Account" means your registered user account with EasyRx.
  • "Business Associate" has the meaning set forth in HIPAA and includes any third-party service providers who may access Protected Health Information on our behalf.
  • "Protected Health Information" or "PHI" has the meaning set forth in HIPAA and includes any individually identifiable health information transmitted or maintained by EasyRx.
  • "Services" means all services provided by EZRX, LLC DBA EasyRx, including but not limited to prescription and over-the-counter medication ordering, medication management, telehealth consultations, delivery services, mobile application features, and subscription services.
  • "Subscription Service" means EasyRx‘s monthly subscription offering that provides access to specified medications, delivery benefits, and other features for a monthly fee.
  • "You" or "User"means any individual who accesses or uses our Services.

Eligibility and Account Registration

1. Age Requirements

You must be at least 18 years old to create an account and use our Services. Parents or legal guardians may create accounts and order medications for their minor children under their supervision and authority.

2. Geographic Limitations

Our Services are available only to residents of the United States and its territories. You represent that you reside in a jurisdiction where our Services are legally available.

3. Account Information

You agree to provide accurate, complete, and current information when creating your account and to update such information to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Healthcare Provider Relationships

EasyRx does not replace your relationship with your healthcare providers. You should continue to consult with your healthcare providers regarding your medical care and treatment decisions.

Pharmacy Services

1. Prescription Fulfillment

EZRX operates a technology platform that connects you with licensed pharmacy services. Prescription fulfillment services are provided through Ranch Health Jersey City LLC DBA EasyRx (our licensed pharmacy entity), which serves as the licensed pharmacy for prescription dispensing. We may also work with additional partner pharmacies to fulfill prescriptions when needed. Your prescription may be filled by Ranch Health Jersey City LLC DBA EasyRx or transferred to another partner pharmacy for fulfillment based on factors including location, availability, and delivery efficiency.

2. Partner Pharmacy Network

  • Ranch Health Jersey City LLC DBA EasyRx (our licensed pharmacy entity) and other partner pharmacies are bound by the same terms and standards
  • EZRX customer service handles all inquiries regardless of which pharmacy fulfills your prescription

3. Prescription Requirements

  • Valid prescription from a licensed healthcare provider required for all prescription medications
  • We may contact your healthcare provider to confirm or clarify prescriptions

4. Drug Substitution

We may substitute brand-name medications for generic medications unless you or your healthcare provider specifically request otherwise, subject to applicable laws and regulations.

Telehealth Services

1. Telehealth Provider

Telehealth services are provided through our licensed telehealth partner(s). These services may be included in your subscription or available for separate purchase.

2. Telehealth Limitations

  • Telehealth consultations do not replace emergency medical care
  • Not all conditions can be diagnosed or treated through telehealth
  • You should seek in-person medical care when recommended by the provider

3. Prescriptions from Telehealth

Prescriptions issued through telehealth consultations are subject to the same terms as other prescriptions and may be filled by Ranch Health Jersey City LLC DBA EasyRx or other partner pharmacies.

Payment Terms

1. Payment Methods

We accept major credit cards and other payment methods as displayed during checkout. By providing payment information, you authorize us to charge your payment method for all applicable fees.

2. Payment Processing

Payments are processed securely by our third-party payment processor, who uses industry-standard security measures such as encryption and fraud detection to protect your transactions. Your payment information is subject to our payment processor‘s privacy and security policies.

3. Non-Refundable Payments

All payments are non-refundable except as specifically provided in these Terms or required by law.

Auto-Refill Services

1. Enrollment

You may enroll eligible medications in our auto-refill service, which automatically processes refills based on your prescription schedule.

2. Auto-Refill Terms

  • We will automatically process refills when due based on your prescription
  • You will be charged for auto-refill medications using your stored payment method
  • You may cancel auto-refill for any medication at any time through your account

3. Auto-Refill Notifications

We will notify you before processing auto-refill orders through your preferred communication method (email, SMS, or push notification).

Communication Consent

1. Consent to Electronic Communications

By creating an account and using our Services, you expressly consent to receive communications from EasyRx and our authorized representatives through various electronic means, including but not limited to:
  • Email communications to the email address associated with your account
  • SMS/text messages to the phone number(s) you provide
  • Push notifications through our mobile application
  • In-app messages and notifications
  • Automated phone calls and voicemails
  • Fax transmissions for prescription transfers and pharmacy communications
  • Other digital communications as may be implemented from time to time

2. Types of Communications

You consent to receive the following types of communications:
2.1. Transactional Communications
  • Order confirmations and updates
  • Prescription status notifications
  • Delivery notifications and tracking information
  • Payment confirmations and billing notifications
  • Account security alerts
  • Service interruption or maintenance notices
  • Legal notices and updates to these Terms
  • Fax transmissions for prescription transfers to partner pharmacies
2.2. Healthcare-Related Communications
  • Medication reminders and refill notifications
  • Auto-refill processing alerts
  • Telehealth appointment reminders
  • Prescription expiration notices
  • Drug recall notifications
  • Important safety information
2.3. Marketing Communications (Optional)
  • Promotional offers and discounts
  • New service announcements
  • Educational health content
  • Subscription benefits information
  • Customer surveys and feedback requests

3. Phone and SMS Consent

By providing your phone number(s), you specifically consent to:
  • Receive automated text messages and calls from EasyRx
  • Receive communications at the phone number(s) you provide, even if the number is on a state or federal Do Not Call list
  • Receive communications that may be sent using an automatic telephone dialing system or artificial/prerecorded voice
  • Standard message and data rates may apply as determined by your wireless carrier

4. Communication Methods and Timing

  • Frequency: Communication frequency will vary based on your account activity and preferences
  • Timing: We may send communications at any reasonable time, but will generally respect standard business hours for non-urgent matters
  • Delivery: We are not responsible for delays in delivery due to technical issues with your service provider

5. Updating Contact Information

You are responsible for:
  • Keeping your contact information current and accurate
  • Notifying us immediately of any changes to your email address or phone number
  • Updating your communication preferences as needed
Failure to maintain current contact information may result in missed important communications about your account, orders, or health information.

6. Opt-Out Rights

You may opt out of certain communications:
6.1. Marketing Communications
  • SMS Marketing: Reply "STOP" to any marketing text message
  • Email Marketing: Use the "unsubscribe" link in marketing emails
  • Account Settings: Manage preferences through your account dashboard
6.2. Transactional CommunicationsYou cannot opt out of essential transactional and healthcare-related communications that are necessary for:
  • Order fulfillment and delivery
  • Account security and legal notices
  • Prescription safety information
  • HIPAA-required communications

7. Third-Party Communication Services

We may use third-party service providers to send communications on our behalf. These providers are bound by appropriate confidentiality and data protection agreements and will only use your information as necessary to provide communication services to EasyRx.

8. Security and Privacy of Communications

  • Email and SMS Risks: You acknowledge that communications via email, SMS, and other electronic means may not be secure and could potentially be intercepted by unauthorized parties
  • Assumption of Risk: You assume this risk when choosing to communicate with us electronically
  • HIPAA Considerations: For protected health information, we will use reasonable safeguards, but electronic communications may not meet the highest security standards

9. Technical Requirements

To receive our communications, you must:
  • Maintain a valid email address and/or phone number
  • Have internet access for app-based communications
  • Keep your devices and applications updated
  • Ensure your service provider supports the communication methods we use

10. Consent Modification and Withdrawal

  • Modification: We reserve the right to modify our communication practices at any time
  • Withdrawal: You may withdraw consent by closing your account, though this will terminate your access to our Services
  • Partial Withdrawal: You may limit certain non-essential communications through your account settings
This consent will remain in effect until you withdraw it or terminate your account with EasyRx.

Privacy and HIPAA Compliance

1. Protected Health Information

EasyRx is a HIPAA-covered entity that collects, uses, and discloses Protected Health Information (PHI) in accordance with HIPAA and applicable state laws. Our Privacy Policy, incorporated by reference, describes how we handle your PHI.

2. Business Associates

We work with business associates who may access your PHI, including:
  • Licensed telehealth service providers
  • Payment processors
  • Analytics service providers
  • Partner pharmacies
  • Delivery service providers
  • Other third-party vendors and contractors as necessary to provide our Services
All business associates are required to comply with HIPAA requirements for protecting your PHI.

3. Consent for Treatment, Payment, and Operations

By using our Services, you consent to our use and disclosure of your PHI for treatment, payment, and healthcare operations as described in our Privacy Policy.

Accessibility

EasyRx is committed to providing accessible services to all users, including those with disabilities. Our mobile application and digital services are designed to comply with the Web Content Accessibility Guidelines (WCAG) 2.2 Level AA standards and applicable accessibility laws.If you experience difficulty accessing our Services due to a disability, please contact us so we can provide alternative means of access.

Insurance and Coverage Limitations

1. Cash-Pay Service

EasyRx operates as a cash-pay service. We do not directly bill insurance companies for medications or services.

2. Out-of-Network Reimbursement

While EasyRx does not directly bill insurance, you may seek out-of-network reimbursement from your insurance provider for purchases made through our Services. We provide receipts for all transactions to support your reimbursement claims. However, EasyRx is not responsible for any delays, denials, or other issues related to insurance reimbursement. Eligibility for reimbursement is determined solely by your insurance provider, and EasyRx makes no guarantees regarding the outcome of any reimbursement requests.

User Responsibilities

1. Medical Information Accuracy

You are responsible for providing accurate and complete medical information, including:
  • Current medications and dosages
  • Known allergies and adverse reactions
  • Medical conditions and health history

2. Prescription Compliance

You agree to:
  • Use medications only as prescribed by your healthcare provider
  • Read all medication information and labels carefully
  • Contact your healthcare provider or pharmacist with questions
  • Store medications properly and securely
  • Keep all medications away from children

3. Account Security

You are responsible for:
  • Maintaining the security of your account credentials
  • Notifying us immediately of unauthorized account access
  • Ensuring your contact information is current and accurate
  • Updating payment information as needed

4. Legal Compliance

You agree to use our Services only for lawful purposes and in compliance with all applicable laws and regulations.

Prohibited Uses

You may not use our Services to:
  • Purchase medications for resale or distribution to others without our written agreement
  • Obtain controlled substances without valid prescriptions
  • Provide false or misleading information
  • Attempt to circumvent our security measures
  • Use automated systems to access our Services without authorization
  • Violate any applicable laws or regulations
  • Interfere with other users' access to our Services
  • Directly contact or conduct business with any pharmacy in our partner network to circumvent our Services or obtain medications outside of our platform
Violation of any of these provisions may result in removal from our network and termination of your account.

Intellectual Property

1. EasyRx Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, software, and data compilations, are owned by EasyRx and are protected by copyright, trademark, and other intellectual property laws.

2. User Content and Feedback

Any content or feedback you provide through our Services, including reviews or testimonials submitted via app stores, remains your property. However, by submitting such content or feedback, you grant us a non-exclusive, royalty-free license to use, republish, and share it for marketing and other purposes. We monitor user feedback through app store portals but do not review it before posting. We reserve the right to remove any feedback that violates our policies or applicable laws.

Unsolicited Ideas Policy

1. Purpose of Policy

This policy is intended to avoid potential misunderstandings if our Services, technology, or business operations may seem similar to ideas submitted to us. This policy also helps us avoid potential legal complications regarding intellectual property ownership.

2. Submission Agreement

If you choose to submit any ideas, suggestions, or proposals despite this policy, you agree that:
  • We owe you no compensation for such submissions
  • There is no duty of confidentiality between us regarding your submissions
  • Your submissions automatically become our property without any obligation to you
  • We may use, modify, or redistribute your submissions in any way for any purpose
  • We are free to develop, use, or sell services and products that may be similar to or competitive with your submissions
  • You are responsible for protecting your own intellectual property rights

3. Legal Consultation

If you are uncertain about the meaning of this policy or the legal ramifications of submitting materials to us, you should consult with your attorney before making any submission.

Third-Party Services

1. Third-Party Integrations

Our Services integrate with third-party services including payment processors, analytics providers, telehealth providers, delivery services, and other third-party services as necessary to provide our Services. Your use of these services is subject to their respective terms and privacy policies.

2. Third-Party Links

Our Services may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of such third-party services.

3. No Endorsement

Our integration with or linking to third-party services does not constitute our endorsement of such services.

Export Controls

1. Export Restrictions

You may not use, export, re-export, import, sell, transfer, or otherwise make available our Services or any content from our Services unless such activity is permitted by these Terms and is not prohibited by United States law, the laws of the jurisdiction in which you access our Services, or any other applicable laws and regulations.

2. Prohibited Destinations and Persons

Our Services and content may not be exported, re-exported, or made available in any manner:
  • To any U.S. embargoed countries or territories
  • To anyone on the U.S. Treasury Department's list of Specially Designated Nationals
  • To anyone on the U.S. Department of Commerce Denied Person's List or Entity List
  • For any purposes prohibited by U.S. law, including the development, design, manufacture, or production of nuclear, chemical, or biological weapons

3. User Representations

By using our Services, you represent and warrant that:
  • You and any ultimate beneficiary of our Services are not located in any prohibited country or territory
  • You are not listed on any prohibited persons list
  • You will not use our Services for any purposes prohibited by U.S. export control laws

Patient Informed Consent

1. Informed Consent Requirement

By using our pharmacy and telehealth services, you provide your informed consent to receive pharmaceutical care and related services from EasyRx and our partner providers.

2. Understanding of Services

You acknowledge that you understand:
  • The nature of the pharmaceutical and telehealth services we provide
  • The benefits, risks, and alternatives to receiving services through our platform
  • Your right to ask questions about your care and medications
  • Your right to refuse treatment or medications at any time

3. Communication and Consultation

You consent to:
  • Receive communications about your medications and health information
  • Participate in consultations with pharmacists and healthcare providers as needed
  • Provide accurate and complete information about your health and medications

4. Emergency Care Limitation

You understand that our Services are not appropriate for emergency medical situations. In case of a medical emergency, you should contact emergency services immediately or go to the nearest emergency room.

5. Right to Revoke Consent

You may revoke this consent at any time by discontinuing use of our Services and closing your account. Revocation of consent does not affect the validity of services provided before the revocation.

Disclaimers and Warranties

1. Medical Disclaimers

  • Always consult with your healthcare provider regarding medical decisions
  • We make no warranties regarding the effectiveness or safety of medications

2. Service Availability

  • Our Services are provided "as is" and "as available"
  • We do not guarantee uninterrupted or error-free service
  • We may suspend or modify Services for maintenance or updates

3. Accuracy of Information

While we strive to provide accurate information, we make no warranties regarding:
  • The accuracy of drug information or pricing
  • The availability of medications
  • Delivery timeframes
  • Third-party service performance

4. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, EASYRX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

1. Limitation of Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, EASYRX'S LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO EASYRX IN THE 12 MONTHS PRECEDING THE CLAIM.

2. Excluded Damages

IN NO EVENT SHALL EASYRX BE LIABLE FOR:
  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Personal injury or property damage (except as required by law)
  • Delays in medication delivery due to factors beyond our control

3. Third-Party Actions

We are not liable for actions or omissions of:
  • Partner pharmacies
  • Healthcare providers (including telehealth providers)
  • Delivery service providers
  • Payment processors
  • Other third-party service providers

4. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, or supply chain disruptions.

Indemnification

You agree to indemnify, defend, and hold harmless EasyRx, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your provision of false or misleading information
  • Your misuse of medications obtained through our Services

Dispute Resolution and Arbitration

1. Informal Resolution

Before filing any formal dispute, you agree to contact us at support@easyrx.com to attempt to resolve the dispute informally. We will have 30 days to respond and attempt resolution.

2. Binding Arbitration

Any disputes arising from or related to these Terms or our Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as provided below.

3. Arbitration Procedures

  • Arbitration will be conducted by a single arbitrator
  • Healthcare providers (including telehealth providers)
  • Arbitration will take place in Delaware or via remote hearing
  • Each party will bear its own costs unless otherwise required by law
  • The arbitrator's decision will be final and binding

4. Exceptions to Arbitration

Either party may pursue claims in small claims court if the claim qualifies. Either party may also seek injunctive relief in court to protect intellectual property rights.

5. Class Action Waiver

YOU AND EASYRX AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, COLLECTIVE ACTIONS, OR REPRESENTATIVE PROCEEDINGS.

6. Severability

If any portion of this arbitration provision is found unenforceable, the remainder shall remain in effect, except that if the class action waiver is found unenforceable, the entire arbitration provision shall be void.

Termination

1. Termination by You

You may terminate your account at any time by contacting customer service or through your account settings. Termination does not relieve you of payment obligations for services already provided.

2. Termination by EasyRx

We may terminate or suspend your account immediately, without prior notice, for any reason at our sole discretion, including but not limited to:
  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Any reason that poses a risk to our Services or other users

3. Effect of Termination

Upon termination:
  • Your access to Services will cease
  • Outstanding payment obligations remain due
  • We may delete your account information subject to our data retention policies
  • Provisions that by their nature should survive termination will remain in effect

Data Retention

1. Active Accounts

We retain your information as long as your account remains active and as necessary to provide Services.

2. Terminated Accounts

After account termination, we retain your information for:
  • 6 years minimum for HIPAA compliance requirements
  • As required by applicable pharmacy laws and regulations
  • As necessary for legal compliance and business purposes

3. Inactive Accounts

Accounts with no activity for 6 years may be considered inactive and subject to data deletion, except as required for legal compliance.

4. Deceased Individuals

Information of deceased individuals is protected for 50 years as required by HIPAA, unless earlier destruction is permitted by applicable law.

5. Data Deletion Requests

You may request deletion of your data by submitting a request through the app. We will process such requests within 14 days, except for data that must be retained to comply with HIPAA or other legal obligations. Information required to be kept by HIPAA for a minimum period will be retained accordingly and deleted when permissible.

Modifications to Terms

We may modify these Terms at any time by posting updated Terms on our platform. We will provide notice of material changes through:
  • Email notification to your registered email address
Your continued use of our Services after the effective date of changes constitutes acceptance of the modified Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in Delaware.

Miscellaneous

1. Entire Agreement

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and EasyRx regarding our Services.

2. Severability

If any provision of these Terms is found unenforceable, the remainder of the Terms will remain in full force and effect.

3. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

4. Assignment

You may not assign or transfer your rights under these Terms. We may assign these Terms without restriction.

5. Survival

Provisions that by their nature should survive termination will survive, including payment obligations, liability limitations, indemnification, and dispute resolution.

6. Electronic Communications

You consent to receive communications from us electronically, and electronic communications satisfy any legal requirement for written communications.
